Terms and Conditions
1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern access to and use of the co-working spaces, facilities, and educational programs (together, the "Services") offered by Hatch Works (Pvt) Ltd, a company incorporated in Sri Lanka ("Hatch," "we," "us," or "our"), including all bookings, memberships, enrollments, and purchases made through hatch.lk or in person.
By creating an account, making a booking, enrolling in a program, or submitting payment for any Service, you ("Member," "Student," "Customer," or "you") confirm that you have read, understood, and agree to be bound by these Terms, together with any policies referenced in them. If you do not agree to these Terms, you must not access or use the Services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
2. Definitions
"Co-working Services" means access to Hatch's shared workspace, including hot desks, dedicated desks, private offices, meeting rooms, and associated amenities, whether purchased as a day pass, membership, or other plan.
"Educational Programs" means any course, workshop, bootcamp, mentorship program, or other learning offering delivered or facilitated by Hatch, whether in person, online, or hybrid.
"Fees" means all charges payable for Co-working Services and/or Educational Programs, including membership fees, program fees, booking fees, and any applicable taxes.
"Payment Method" means any credit card, debit card, bank transfer, mobile payment, or other payment instrument accepted by Hatch or its Payment Processor.
"Payment Processor" means the third-party payment gateway or processor engaged by Hatch to process payments on its behalf.
3. Eligibility and Account Registration
3.1 You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to purchase Services or enter into a binding agreement with Hatch. Minors may participate in Educational Programs only with the consent and registration of a parent or legal guardian, who agrees to these Terms on the minor's behalf.
3.2 You agree to provide accurate, current, and complete information when registering for an account, booking a space, or enrolling in a program, and to keep such information up to date.
3.3 You are responsible for maintaining the confidentiality of any login credentials associated with your account and for all activity that occurs under your account.
4. Co-working Space Membership and Bookings
4.1 Plans. Hatch offers various co-working access plans (e.g., day passes, hot desk memberships, dedicated desk memberships, private office leases, and meeting room bookings), each with its own pricing, access hours, and terms as described on hatch.lk or in your membership agreement at the time of purchase.
4.2 Booking Confirmation. A booking or membership is confirmed only once full payment has been received and a confirmation has been issued by Hatch, whether by email, SMS, or through your account.
4.3 Facility Rules. You agree to comply with all facility rules, house rules, and codes of conduct posted at the Hatch premises or communicated to you, including rules relating to noise, guests, shared equipment, security, and health and safety. Hatch may amend facility rules from time to time and will make reasonable efforts to notify Members of material changes.
4.4 Guests and Visitors. Any guests you bring onto Hatch premises are your responsibility, and you agree to ensure they comply with these Terms and all facility rules.
4.5 Access Suspension. Hatch reserves the right to suspend or terminate your access to co-working facilities, without refund, for conduct that violates these Terms, facility rules, or applicable law, or that Hatch reasonably believes poses a risk to other Members, staff, or property.
4.6 Personal Property. Hatch is not responsible for loss, theft, or damage to personal belongings brought onto its premises, except to the extent caused by Hatch's gross negligence or willful misconduct.
5. Educational Programs
5.1 Enrollment. Enrollment in an Educational Program is confirmed only upon receipt of full payment (or, where offered, an agreed deposit or installment plan) and written confirmation from Hatch. Program availability, schedules, curricula, and instructors are subject to change, and Hatch will make reasonable efforts to notify enrolled participants of material changes.
5.2 Attendance and Conduct. You agree to attend sessions as scheduled and to conduct yourself professionally and respectfully toward instructors, staff, and fellow participants. Hatch may remove a participant from a program, without refund, for disruptive conduct, harassment, academic dishonesty, or breach of these Terms.
5.3 Certificates and Outcomes. Where a program includes a certificate of completion or similar credential, issuance is conditional on meeting the attendance, assessment, or participation requirements communicated for that program. Hatch does not guarantee specific employment, business, or academic outcomes resulting from participation in any Educational Program.
5.4 Program Changes or Cancellation by Hatch. If Hatch cancels a program before it begins, Hatch will, at its discretion, either offer enrolled participants a transfer to an alternative program or cohort, or a refund of fees paid for that specific program, notwithstanding Section 6.
6. Fees, Payment, and No Refunds
6.1 Pricing and Currency. All Fees are stated on hatch.lk or in your order confirmation, in Sri Lankan Rupees (LKR) unless otherwise indicated, and are exclusive of applicable taxes unless stated otherwise. Any applicable taxes, including VAT, will be calculated and added to your total at checkout in accordance with the rate in effect under Sri Lankan law at the time of payment.
6.2 Payment Processing. Payments made through hatch.lk are processed by a third-party Payment Processor. By submitting payment, you authorize Hatch and its Payment Processor to charge the Fees due, including any applicable taxes, to your selected Payment Method. Hatch does not store full card details; payment data is handled directly by the Payment Processor in accordance with its own terms and applicable data security standards.
6.3 Accepted Payment Methods. Hatch accepts the payment methods made available at checkout from time to time, which may include credit cards, debit cards, bank transfers, and mobile payment options.
6.4 Recurring Payments. Where you select a recurring membership plan (e.g., monthly co-working membership), you authorize Hatch to charge your Payment Method automatically on each renewal date until you cancel in accordance with Section 7. You are responsible for ensuring your Payment Method remains valid and sufficiently funded.
6.5 Failed or Declined Payments. If a payment is declined, fails, or is reversed for any reason, Hatch may suspend your access to the Services until payment is successfully completed, and may charge a reasonable administrative fee for handling failed transactions where permitted by law.
6.6 No Refunds. All Fees are non-refundable once paid, including for unused co-working access, missed sessions, partial attendance, early termination of membership, or withdrawal from an Educational Program, except:
(a) where required by the Consumer Affairs Authority Act, No. 9 of 2003, or any other applicable law of Sri Lanka that cannot be excluded by agreement; or
(b) as expressly set out in Section 5.4 (program cancellation by Hatch).
This no-refund policy applies regardless of the payment method used and is a material condition of your purchase. Please review plan details, program dates, and facility rules carefully before completing payment.
6.7 Chargebacks. Initiating a chargeback or payment dispute for Fees properly charged in accordance with these Terms, without first contacting Hatch to attempt to resolve the issue, may result in suspension or termination of your account and access to the Services.
6.8 Price Changes. Hatch may change its Fees or pricing plans at any time. Changes will not affect Fees already paid or a membership term or program already confirmed, but will apply to renewals and new purchases made after the change takes effect.
7. Cancellations, Transfers, and Membership Termination
7.1 Membership Cancellation. You may cancel a recurring membership at any time by providing notice through your account or to gayen@hatch.lk. Cancellation takes effect at the end of the current billing period, and no partial-period refund will be issued.
7.2 Transfers. Where permitted for a specific plan or program, Hatch may, at its discretion, allow a booking or enrollment to be transferred to another individual or to an alternative date or cohort, subject to availability and any conditions communicated at the time.
7.3 Termination by Hatch. Hatch may suspend or terminate your account, membership, or program enrollment, without refund, if you breach these Terms, provide false information, engage in fraudulent activity, or fail to make payment when due.
8. Intellectual Property
8.1 All course materials, curricula, presentations, branding, and other content provided by Hatch as part of its Services ("Hatch Content") remain the property of Hatch or its licensors and are protected by applicable intellectual property laws.
8.2 You may use Hatch Content solely for your personal, non-commercial learning or business purposes in connection with the Services. You may not copy, reproduce, distribute, publicly display, or create derivative works from Hatch Content without Hatch's prior written consent.
Health, Safety, and Acceptable Use
9.1 You agree to comply with all applicable health, safety, and security instructions while on Hatch premises.
9.2 You agree not to use the Services to engage in unlawful activity, harassment, or conduct that damages Hatch property or disrupts other Members, students, or staff.
9.3 Hatch reserves the right to refuse service or remove any individual from its premises whose conduct violates this Section or poses a risk to others, without refund.
10. Limitation of Liability
10.1 To the fullest extent permitted by applicable Sri Lankan law, Hatch's total liability to you arising out of or in connection with the Services, whether in contract, tort, or otherwise, shall not exceed the total Fees paid by you to Hatch in the twelve (12) months preceding the event giving rise to the claim.
10.2 Hatch shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, business, or data, arising from your use of the Services.
10.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Sri Lankan law, including liability for death or personal injury caused by Hatch's gross negligence or willful misconduct.
11. Indemnification
You agree to indemnify and hold harmless Hatch Works (Pvt) Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Services, or violation of applicable law.
12. Force Majeure
Hatch shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, government action, power or internet outages, strikes, or public health emergencies. Where a program or facility closure results from such an event, Hatch will make reasonable efforts to offer a make-up session, transfer, or credit, but the no-refund policy in Section 6.6 continues to apply.
13. Privacy
Your use of the Services is also governed by Hatch's Privacy Policy, which describes how we collect, use, and protect your personal data, including payment-related information shared with our Payment Processor.
14. Changes to These Terms
Hatch may update these Terms from time to time to reflect changes in its Services, pricing structure, or legal requirements. The updated Terms will be posted on hatch.lk with a revised "Last updated" date. Continued use of the Services after such changes take effect constitutes your acceptance of the revised Terms. Material changes affecting an active membership or enrollment will be communicated to affected Members or Students in advance.
15. Governing Law and Dispute Resolution
15.1 These Terms are governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, without regard to its conflict of laws principles.
15.2 Any dispute arising out of or in connection with these Terms or the Services shall first be addressed through good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
16. Miscellaneous
16.1 Entire Agreement. These Terms, together with any order confirmation, membership agreement, or program-specific terms provided to you, constitute the entire agreement between you and Hatch regarding the Services and supersede any prior agreements or understandings.
16.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16.3 No Waiver. Hatch's failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.
16.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without Hatch's prior written consent. Hatch may assign these Terms in connection with a merger, acquisition, or sale of assets.
